MintNovaLabs provides managed outbound email marketing and lead generation services, including but not limited to: lead research, email copywriting, deliverability setup, campaign execution, and reporting. Services are provided on a pay-per-result or agreed-upon pricing basis as outlined in your service agreement.
3. Eligibility
You must be at least 18 years old and have the legal authority to enter into a binding agreement to use our Services. By using the Services, you represent that you meet these requirements.
4. Client Obligations
As a client, you agree to:
- Provide accurate and complete information about your business, ideal customer profile, and offerings.
- Respond to communications and requests for approvals in a timely manner.
- Not use our Services for any unlawful purpose or to send unsolicited messages that violate applicable anti-spam laws (including CAN-SPAM, GDPR, CASL).
- Ensure that you have a legitimate business interest in the prospects we contact on your behalf.
5. Payment Terms
Payment terms are as specified in your individual service agreement. Unless otherwise agreed, invoices are due within 14 days of issuance. Late payments may incur a fee of 1.5% per month on the outstanding balance. We reserve the right to suspend Services for overdue accounts.
6. Intellectual Property
All content, materials, strategies, templates, and deliverables created by MintNovaLabs remain our intellectual property unless explicitly transferred in writing. You retain ownership of your brand assets, company information, and proprietary data that you provide to us.
7. Confidentiality
Both parties agree to keep confidential any proprietary or non-public information shared during the engagement. This includes business strategies, client lists, campaign data, and performance metrics. This obligation survives termination of the relationship.
8. Limitation of Liability
To the maximum extent permitted by law, MintNovaLabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Services. Our total liability shall not exceed the amounts paid by you to us in the 12 months preceding the claim.
9. Disclaimer of Warranties
Our Services are provided "as is" without warranties of any kind, whether express or implied. While we strive to deliver high-quality results, we do not guarantee specific outcomes such as reply rates, meeting counts, or revenue generation. Results may vary based on factors outside our control including your product, market, and pricing.
10. Termination
Either party may terminate the engagement with 14 days written notice. Upon termination, you remain responsible for any outstanding payments for services rendered. We will provide a final report and transition any active campaigns as agreed upon.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in San Francisco, CA.
12. Changes to Terms
We reserve the right to update these Terms at any time. Material changes will be communicated via email or through a notice on our website. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.
